1. Who we are and what this covers
This website and store (the "Services") are operated by ROAS 3 LLC, trading as Sophie and Dan ("Sophie and Dan", "we", "us", "our"). Visiting the site or placing an order means you accept these Terms of Service (these "Terms") together with the documents they reference, including our Privacy Policy, Shipping Policy and Refund Policy.
The store is hosted on Shopify Inc.'s e-commerce platform, which lets us offer the Services to you.
2. Using the Services
You must be at least 18 years old to use the Services, and you agree to use them only for lawful purposes and in line with applicable law.
You may not upload or transmit viruses, malware or other harmful code.
We may refuse service, suspend accounts or cancel orders at our discretion where we believe these Terms or the law are being breached.
3. Changes to the site and these Terms
Content, features and prices on the site can change at any time without notice, and we may update these Terms by publishing a new version on this page. Continuing to use the Services after an update means you accept it. The version in force when you place an order is the one that applies to that order.
4. Products, pricing and availability
Descriptions, images, colours, prices and quantities shown may change at any time. We aim to present each product accurately, but screen colours can differ from the physical item. All prices are shown in USD (US dollars), and applicable state and local sales tax is calculated and shown at checkout where we must collect it.
We may restrict sales to certain people, regions or jurisdictions, and may limit quantities per order, account or address.
5. Orders and acceptance
Placing an order is an offer to buy. We may accept, decline or cancel an order, for instance where fraud is suspected, stock is unavailable or a price was wrong. If an order needs to change or be cancelled, we will try to reach you using the email or phone number given at checkout.
6. Account and billing details
You agree to give accurate, current and complete details for your purchase and account, and to keep information such as your email, delivery address and payment details up to date. We may refuse or cancel orders where the details provided cannot be verified.
7. Shipping, delivery and returns
Shipping, delivery times and returns are covered in our Shipping Policy and Refund Policy, both linked in the footer; please read both before ordering. The return window and its conditions sit in the Refund Policy, along with any related costs, currency and return address. Delivery times given anywhere on the site are estimates.
8. Third party tools and services
The site may give you access to tools from third parties, such as payment providers, analytics or shipment tracking. These are offered as is and as available, without warranty from us. Using them, or visiting third party sites linked from our store, is at your own risk and governed by that third party's own terms; we are not responsible for their content, security or practices.
9. Reviews, feedback and other contributions
If you send us reviews, comments, ideas or similar material ("Contributions"), you grant us a non-exclusive, transferable, sublicensable, royalty-free licence to use, reproduce, publish, translate and distribute them to run and improve the Services. We may remove Contributions that are unlawful, defamatory, harassing, obscene, unrelated to our products, contain personal information, or carry harmful code. We do not remove or edit a review simply because it is negative.
You confirm your Contributions do not infringe third party rights (including intellectual property, privacy or publicity), are not unlawful or defamatory, and contain no harmful code.
10. Personal information
Personal information you share with us is handled under our Privacy Policy, linked in the footer, which explains what we collect, how we use it and the rights available to you under applicable privacy law.
11. Errors and omissions
Occasionally the site may contain typographical errors, inaccuracies or omissions in product descriptions, prices or availability. Where an item was listed at the wrong price or with wrong information, we will either cancel the order and refund it in full, or contact you before shipping so you can confirm the order at the correct price. We may correct site errors at any time.
12. Prohibited uses
Beyond the other limits in these Terms, you may not use the Services or site content:
- for an unlawful purpose,
- to breach local regulations, laws or ordinances,
- to infringe intellectual property rights,
- to harass, defame, discriminate against or harm others,
- to submit false or misleading information,
- to upload or spread harmful code,
- to scrape, index or collect others' personal information without consent,
- to interfere with the security or normal operation of the Services.
We may restrict or end your access if these rules are broken.
13. Disclaimer of warranties
The website and the Services, though not the products themselves, are provided as is and as available, with no express or implied warranty as to how the site operates. We do not promise the Services will be uninterrupted, timely, secure or free of errors.
Products carry the implied warranties required under the law of your state. Where the law allows it, any implied warranty is limited to the 30 day return window set out in our Refund Policy; some states do not permit such limits, so this may not apply to you. Nothing here limits the remedies available to you under consumer protection law for goods that are defective or not as described, and our Refund Policy sets out how we replace or refund such items.
14. Limitation of liability
To the fullest extent the law allows, ROAS 3 LLC and its directors, employees, affiliates, agents, suppliers and service providers are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profit, revenue, savings, data or replacement costs, or any other loss arising from use of the Services or products, even where we were told such damage was possible. Where a jurisdiction does not allow certain limits, our liability is capped at what the law permits. Nothing here excludes or limits liability for fraud, gross negligence, death or personal injury, or any liability that cannot lawfully be excluded or limited.
15. Indemnification
You agree to indemnify and hold harmless ROAS 3 LLC and our affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers and employees against any claim or demand, including reasonable legal costs, arising from your breach of these Terms or of any law or third party right.
16. Severability
If any part of these Terms is found unlawful, void or unenforceable, it will still be enforced to the fullest extent the law allows, and the rest of the Terms remain in full effect.
17. Termination
These Terms apply until ended by you or by us. You may stop using the Services at any time. We may suspend or end your access if you breach these Terms, without affecting any amount owed up to that point. Provisions meant to survive termination remain in force.
18. Entire agreement and waiver
Together with the policies published on our site, these Terms form the whole agreement between you and us about the Services, replacing any earlier agreement or communication on the subject. Not enforcing a provision on one occasion does not waive our right to enforce it later.
19. Governing law and venue
These Terms, and any dispute arising from or relating to them, including non-contractual disputes, are governed by the laws of the State of Wyoming. If you are a consumer, you retain the protection of the mandatory consumer laws of the state or country where you live, and nothing here limits your right to bring a claim before the courts or agencies of that place.
20. Dispute resolution
If something is wrong, contact us first at info@sophieanddan.com; most issues are settled within a few days. If we cannot agree on a solution, you remain free to raise the matter with the consumer protection authority or courts where you live. Nothing in these Terms requires arbitration.
